WURIN Terms of Use

1. Introduction

These Terms of Use govern your access to and use of the WURIN mobile application, website, cloud services, and related services. By using WURIN (all versions including the free version), you agree to be bound by these Terms and the Privacy Policy.

2. Definitions

Through the use of WURIN app and the contents of WURIN website and policies, you encounter these terms: Account, Application, User, Services, AI Services, Receipt Data, User Content, Cloud Storage, Local Storage, Subscription, Device, and Third-Party Services. The general definition of each term applies.

3. Acceptance of Terms

By downloading, installing, registering, or otherwise using WURIN, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must discontinue use immediately.

4. Eligibility

You must have legal capacity to enter into a binding agreement and comply with all applicable laws. If you use WURIN on behalf of an organization, you represent that you are authorized to bind that organization.

5. Description of Services

WURIN provides receipt scanning, AI-assisted receipt extraction, search, categorization, PDF export, reports, local storage, cloud synchronization (where available), favorites, trash management, and related productivity features. Features may change over time.

6. Accounts and Authentication

WURIN currently supports Google Sign-In and Apple Sign-In where available. You are responsible for maintaining the confidentiality of your authentication credentials and for all activities conducted under your account. You agree to promptly notify the Company if you suspect unauthorized access.

7. User Responsibilities

You agree to provide accurate information, comply with all applicable laws, safeguard your devices, maintain backups of important records, and use WURIN only for lawful purposes. You remain responsible for verifying receipt information before relying upon it for financial, legal, tax, reimbursement, or warranty purposes.

8. License Grant

Subject to these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use WURIN on devices you own or control solely for lawful purposes. No ownership rights are transferred.

9. Prohibited Activities

You must not use WURIN to violate laws, infringe intellectual property, distribute malware, interfere with the Services, bypass security measures, reverse engineer the application except where prohibited by law, create fraudulent accounts, scrape data, or use automated tools that negatively affect the platform.

10. Artificial Intelligence and OCR

WURIN may use artificial intelligence, optical character recognition, and machine learning technologies provided by third parties, including Google Document AI and OpenAI, to recognize, classify, summarize, and organize receipt information. AI-generated output is intended to assist users and may contain errors, omissions, or inaccuracies.

11. Accuracy of Results

You acknowledge that receipt recognition, merchant identification, item extraction, categorization, and reports are estimates generated from uploaded content. You are solely responsible for reviewing and verifying all extracted information before relying upon it for accounting, tax, reimbursement, warranty, insurance, legal, or financial purposes.

12. User Content

You retain ownership of receipts, images, notes, tags, categories, exported files, and other content you upload. You grant the Company a limited, worldwide, non-exclusive license to host, process, reproduce, transmit, and display such content only as necessary to operate, secure, maintain, and improve the Services.

13. Cloud Storage and Local Storage

WURIN may offer local-only storage, cloud storage, or both depending on your settings and subscription. Cloud functionality may use Supabase-hosted infrastructure or successor providers. While commercially reasonable safeguards are implemented, no electronic storage or transmission method is completely secure.

14. Data Backup

You are responsible for maintaining independent copies of important records. WURIN is not a substitute for a comprehensive backup solution and does not guarantee recovery of deleted or corrupted information.

15. Subscriptions and Billing

Certain features may require a paid subscription. Subscription purchases, renewals, cancellations, refunds, and payment processing are generally administered by the applicable app marketplace, including Google Play and, where available, the Apple App Store. Pricing and features may change prospectively.

16. Trial Offers and Promotions

From time to time, WURIN may offer free trials, promotional pricing, or limited-time features. Eligibility, duration, and conditions are determined by the Company and may be modified or withdrawn at any time in accordance with applicable law.

17. Intellectual Property

All software, source code, databases, user interface designs, graphics, logos, trademarks, documentation, text, and other materials comprising WURIN are owned by 1001672546 ONTARIO INC. or its licensors and are protected by intellectual property laws. Except for the limited license granted under these Terms, no rights are transferred.

18. Third-Party Services

WURIN integrates with third-party providers for authentication, artificial intelligence, cloud hosting, payment processing, analytics, notifications, and other operational functions. These providers operate under their own terms and privacy policies. The Company is not responsible for the independent practices, availability, or content of third-party services.

19. Software Updates

The Company may release updates, patches, security fixes, and feature enhancements. Some updates may be mandatory to maintain compatibility, security, or continued access to certain features. Failure to install updates may limit functionality.

20. Beta and Experimental Features

From time to time, WURIN may provide beta, preview, or experimental features. Such features are provided for evaluation purposes, may change or be discontinued without notice, and may be more prone to interruptions or inaccuracies.

21. Service Availability

While the Company strives to provide reliable Services, uninterrupted availability cannot be guaranteed. Maintenance, internet outages, failures of cloud providers, mobile operating systems, telecommunications networks, or other circumstances beyond the Company's control may affect availability.

22. Security

The Company implements commercially reasonable administrative, technical, and organizational safeguards intended to protect user information. Users are responsible for maintaining device security, enabling available authentication protections, and promptly reporting suspected unauthorized account activity.

23. Disclaimer of Warranties

To the fullest extent permitted by law, WURIN and all related Services are provided on an 'AS IS' and 'AS AVAILABLE' basis. The Company disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, reliability, and error-free operation.

24. Limitation of Liability

To the maximum extent permitted by applicable law, 1001672546 ONTARIO INC., its directors, officers, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, exemplary, special, punitive, or lost-profit damages, loss of business, loss of goodwill, loss of data, or damages arising from reliance on OCR or AI-generated output, even if advised of the possibility of such damages.

25. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising from your misuse of the Services, violation of these Terms, infringement of intellectual property, or violation of applicable law.

26. Suspension and Termination

The Company may suspend, restrict, or terminate your access to WURIN immediately where reasonably necessary to protect the Services, investigate suspected misuse, comply with legal obligations, prevent security risks, or enforce these Terms. Upon termination, the license granted under these Terms ends immediately, although provisions intended to survive termination shall remain in effect.

27. Governing Law

These Terms and any dispute arising from or relating to WURIN shall be governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. Where mandatory consumer protection laws apply in your jurisdiction, those rights remain unaffected.

28. Dispute Resolution

The parties agree to make reasonable efforts to resolve disputes through good-faith negotiations before commencing formal legal proceedings. Nothing in these Terms limits either party's right to seek urgent injunctive or equitable relief where appropriate.

29. Electronic Communications

By creating an account or using WURIN, you consent to receive notices, disclosures, and other communications electronically, including by email, in-app notification, or through the WURIN website. Electronic communications satisfy any legal requirement that such communications be in writing where permitted by law.

30. Export Compliance

You agree not to use, export, or re-export WURIN in violation of applicable export control or sanctions laws. You represent that you are not located in, or acting on behalf of, any jurisdiction or person subject to restrictions that would make your use of the Services unlawful.

31. Privacy and Data Protection

Your use of WURIN is also governed by the WURIN Privacy Policy. Depending on your chosen settings and subscription, receipt data may be processed locally on your device, in cloud infrastructure, or by trusted service providers solely for the purpose of delivering requested functionality. WURIN does not sell users' personal information or receipt data.

32. Feedback

If you voluntarily submit suggestions, ideas, feature requests, or other feedback regarding WURIN, you grant the Company a perpetual, worldwide, royalty-free right to use, modify, and incorporate that feedback without obligation to compensate you, unless otherwise required by law.

33. Assignment

The Company may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets. You may not assign your rights or obligations without the Company's prior written consent.

34. Force Majeure

The Company shall not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, internet failures, utility outages, cyberattacks, labour disputes, epidemics, acts of government, armed conflict, or failures of third-party infrastructure providers.

35. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Any invalid provision shall be interpreted to most closely reflect its original intent while remaining legally enforceable.

36. Waiver

A failure or delay by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights. Any waiver must be in writing and signed by an authorized representative of the Company.

37. Entire Agreement

These Terms, together with the WURIN Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and the Company concerning your use of the Services and supersede all prior or contemporaneous understandings, communications, representations, and agreements relating to the subject matter.

38. Survival

Any provisions that by their nature should survive termination of these Terms shall remain in effect following termination of your account or your use of the Services. These include, without limitation, provisions relating to intellectual property, user content licenses, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, payment obligations, and any accrued rights or remedies.

39. Interpretation

Headings are provided for convenience only and do not affect the interpretation of these Terms. Words such as 'including' or 'includes' mean 'including without limitation.' References to the singular include the plural where appropriate, and references to one gender include all genders where the context permits.

40. No Partnership or Employment

Nothing in these Terms creates any partnership, joint venture, employment, agency, franchise, fiduciary, or similar relationship between you and the Company. You have no authority to bind or represent the Company unless expressly authorized in writing.

41. Compliance with Laws

You agree to comply with all applicable local, provincial, state, federal, and international laws, regulations, and governmental requirements relating to your access to and use of WURIN. You are solely responsible for ensuring that your use of the Services is lawful in your jurisdiction.

42. Future Features

The Company may introduce new products, services, integrations, APIs, AI capabilities, storage options, subscription plans, or website features in the future. Unless otherwise stated, such features will be governed by these Terms or by supplemental terms made available at the time of release.

Receipt images, extracted text, merchant names, purchased items, totals, taxes, transaction dates, payment methods, and related metadata may be processed to provide receipt management, organization, search, reporting, export, synchronization, and other requested features.

6. Authentication Information

WURIN currently supports Google Sign-In and Apple Sign-In where available. Authentication information received from these providers is used only to authenticate your account, maintain your profile, and deliver the requested Services. WURIN does not receive or store your authentication passwords.

7. Subscription Information

If you subscribe to a paid plan, WURIN may receive information necessary to verify subscription status, entitlement, renewals, cancellations, and related billing events from the applicable app marketplace. Payment card information is generally processed by the marketplace and is not stored by WURIN.

8. Purposes for Collection

We collect information to operate WURIN, authenticate users, process receipts, synchronize cloud data when enabled, improve application performance, provide customer support, detect fraud, maintain security, comply with legal obligations, and develop new features.

9. AI Processing

WURIN may use artificial intelligence and optical character recognition technologies to identify, classify, extract, summarize, and organize receipt information. AI-generated output is used solely to provide requested functionality and may require user verification.

10. Cloud Infrastructure

When cloud storage is enabled, receipt information and related account data may be stored using infrastructure provided by Supabase and supporting cloud providers. Depending on deployment, information may be processed or stored on servers located in the United States or other jurisdictions where our service providers operate.

11. How We Share Information

WURIN does not sell your personal information or receipt data. We may disclose information to trusted service providers that assist us in authentication, cloud hosting, AI processing, customer support, analytics, subscription verification, fraud prevention, security, or legal compliance. These providers are contractually or legally required to use information only for authorized purposes.

12. Legal Bases for Processing

Where required by applicable privacy laws, we process personal information on the basis of contract performance, your consent where applicable, our legitimate interests in operating and securing the Services, and compliance with legal obligations.

Depending on your jurisdiction, you may have the right to request access to, correction of, deletion of, or portability of your personal information, as well as the right to object to or restrict certain processing activities. 1. Purpose

Deleting your WURIN account does not automatically remove receipt information or files stored solely on your personal device unless the application specifically provides that functionality. Users remain responsible for deleting local files from their devices if desired.

8. Cloud Data Deletion

Upon verification of a valid deletion request, WURIN will take reasonable steps to remove or anonymize cloud-stored account information, receipt data, preferences, and other associated records that are no longer required for legal, security, or operational purposes. Deletion may occur in stages as systems synchronize.

9. Data Retention Exceptions

Certain information may be retained after an account deletion request where required by applicable law, to comply with tax, accounting, audit, fraud prevention, cybersecurity, dispute resolution, contractual obligations, or to establish, exercise, or defend legal claims. Retained information will be limited to what is reasonably necessary for those purposes.

10. Backup Copies

For business continuity and disaster recovery purposes, encrypted backup copies of certain information may continue to exist for a limited period after active records have been deleted. Backup data is protected by security controls and is routinely overwritten or securely removed according to operational retention schedules.

11. Subscription and Billing Records

Deletion of a WURIN account does not automatically cancel subscriptions purchased through Google Play, the Apple App Store, or other marketplaces. Users remain responsible for managing subscription cancellation through the applicable marketplace. WURIN aims to process verified deletion requests within a reasonable timeframe.
